Terms of Service
1. Acceptance of Terms
By accessing or using any services offered by Axiom Vitality Management ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These terms constitute a legally binding agreement between you and Axiom Vitality Management.
2. Nature of Services
Axiom Vitality Management provides private executive wellness coaching, lifestyle optimization, and performance acceleration programs. Our services are educational and coaching in nature and do not constitute medical advice, diagnosis, or treatment. All programs are offered on a private, application-only basis and are subject to acceptance at the sole discretion of the Company.
3. Not Medical Advice
Nothing provided through our programs, communications, or materials constitutes medical advice. You should always consult a qualified healthcare provider before making any changes to your health, diet, exercise, or lifestyle regimen. Axiom Vitality Management is not a licensed medical provider and does not diagnose, treat, cure, or prevent any disease or medical condition. Results vary by individual and are not guaranteed.
4. Eligibility
Our services are available only to individuals who are 18 years of age or older and who have the legal capacity to enter into a binding agreement. By submitting an application or engaging our services, you represent and warrant that you meet these eligibility requirements.
5. Program Enrollment and Payment
Enrollment in any Axiom Vitality Management program is contingent upon acceptance of your application and execution of a separate program agreement. All fees, payment schedules, refund policies, and program terms will be set forth in that individual program agreement. No payment obligation arises solely from submission of an application or from these Terms of Service.
6. Intellectual Property
All content, materials, frameworks, methodologies, and intellectual property provided through our services are the exclusive property of Axiom Vitality Management. You may not reproduce, distribute, modify, create derivative works of, or commercially exploit any such materials without the prior written consent of the Company.
7. Confidentiality
All program content, strategies, and proprietary methodologies shared with you during your engagement with Axiom Vitality Management are confidential. You agree not to disclose, share, or publish such information without the express written consent of the Company.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Axiom Vitality Management shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability to you for any claims arising from these terms or our services shall not exceed the total amount paid by you to the Company in the three months preceding the claim.
9. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components.
10. Indemnification
You agree to indemnify, defend, and hold harmless Axiom Vitality Management and its principals, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or your violation of these Terms of Service.
11. Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these terms shall be resolved exclusively in the state or federal courts located in Arizona, and you consent to the personal jurisdiction of such courts.
12. Modifications
Axiom Vitality Management reserves the right to modify these Terms of Service at any time. Continued use of our services following the posting of updated terms constitutes your acceptance of those changes. We encourage you to review these terms periodically.
13. Entire Agreement
These Terms of Service, together with any executed program agreement, constitute the entire agreement between you and Axiom Vitality Management with respect to the subject matter herein and supersede all prior or contemporaneous communications, representations, or agreements.
